Terms of Service

These terms (“Terms”) govern your use of the editide platform, including the editide PowerPoint add-in (the “Add-in”), the editide REST API, MCP endpoints, third-party integrations (Claude, ChatGPT, and other MCP-compatible clients), and the dashboard at app.editide.com (collectively, the “Service”). By creating an editide account, installing the Add-in, or otherwise using the Service, you agree to these Terms.

Scope and EULA notice. These Terms also constitute the End User License Agreement (EULA) for the Add-in available through Microsoft Marketplace. If you acquired the Add-in through Microsoft Marketplace, Microsoft’s terms applicable to that acquisition apply in addition to these Terms. Sections most relevant to Add-in users are: 1 (Account), 2 (License Grant), 3 (Acceptable Use), 4 (Subscriptions and Billing), 6 (Your Content), 10 (Disclaimer of Warranty), and 11 (Limitation of Liability).

Your privacy is governed by the editide Privacy Policy, which is incorporated into these Terms by reference.

1. Account

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and API keys, and for all activity that occurs under your account. You must not share API keys or allow unauthorized access to your account. Notify us promptly at support@editide.com if you suspect unauthorized use of your account.

2. License Grant

Subject to your compliance with these Terms, editide grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Add-in in connection with Microsoft PowerPoint on devices and accounts you own or control, and to access the rest of the Service, in each case solely for your internal business or personal use.

The Add-in and the Service are licensed, not sold. editide and its licensors retain all right, title, and interest in and to the Add-in and the Service, including all intellectual property rights. All rights not expressly granted to you in these Terms are reserved.

You may not, and may not permit any third party to:

  • Reverse engineer, decompile, or disassemble the Add-in or any other part of the Service, except to the extent applicable law expressly permits despite this limitation
  • Work around or attempt to circumvent any technical limitations, rate limits, usage quotas, or security measures
  • Modify, adapt, translate, or create derivative works of the Add-in or the Service
  • Rent, lease, lend, sell, sublicense, resell, or redistribute the Add-in or the Service without our prior written permission
  • Publish, copy, or otherwise make the Add-in available for others to install except through Microsoft Marketplace
  • Remove or obscure any proprietary notices

3. Acceptable Use

You may use the Service to create, edit, and manage PowerPoint presentations for lawful purposes. You must not:

  • Use the Service to generate, transmit, or store illegal, infringing, harmful, abusive, harassing, or fraudulent content
  • Attempt to circumvent rate limits, usage quotas, or security measures
  • Upload files containing malware, viruses, or other malicious code
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt unauthorized access to any editide system, data, account, or network
  • Use the Service in violation of Microsoft’s terms applicable to PowerPoint or Microsoft Marketplace

We may suspend or terminate your access if you violate this section.

4. Subscriptions and Billing

Plans. editide offers both Add-in (token-based) and API (slide-based) subscription plans. Plan details and pricing are listed on our pricing page.

Billing cycle. Subscriptions are billed in advance on a monthly or annual basis. Payment is processed by Stripe. You authorize editide and Stripe to charge your payment method for all fees you incur.

Upgrades. Plan upgrades take effect immediately. You will be charged a prorated amount for the remainder of the current billing period.

Downgrades. Plan downgrades take effect at the end of the current billing period. You retain access to your current plan until then.

Overage. Some plans include overage billing beyond the included usage. Overage rates are listed on the pricing page. Overage charges appear on your next invoice.

Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.

Free tier. The API Basic tier is free and includes a limited number of slides per month. No payment information is required. Free tier usage is subject to the same acceptable use terms. We may modify, suspend, or discontinue the free tier at any time.

5. API Keys

API keys are shown once at generation and cannot be recovered. You are responsible for storing them securely. Revoked keys cannot be reinstated — generate a new one instead. We reserve the right to revoke keys that violate these Terms.

6. Your Content

You retain all rights to the presentations and files you upload to the Service. We do not claim ownership of your content. You grant editide a limited, worldwide, royalty-free license to access, transmit, process, and modify your content solely as needed to provide the service you requested. When you initiate tool calls through a third-party AI client (e.g., Claude or ChatGPT via MCP), tool arguments and results — which may include references to your content — pass through that client’s transport. Consult the client’s privacy policy for how it handles that data.

We do not use your content to train AI models. Uploaded files are processed in isolated environments and automatically deleted within 12 hours, as described in our Privacy Policy.

You represent and warrant that you have all rights necessary to provide your content to the Service and that your content does not violate any law or third-party right.

7. BYOK (Bring Your Own Key)

API and MCP connector users may provide their own Anthropic or OpenAI API key for AI inference (BYOK). Your LLM key is used only for the duration of each request and is never stored. You are responsible for the costs incurred on your LLM provider account. editide is not liable for charges from your LLM provider.

8. Service Availability, Updates, and Rate Limits

We strive to maintain high availability but do not guarantee uninterrupted service. Self-serve plans do not include a service level agreement (SLA). Enterprise customers may negotiate SLAs separately.

The Add-in may be updated automatically through Microsoft Marketplace or PowerPoint to add features, fix bugs, or maintain security. By using the Add-in, you consent to receiving these updates. Updated versions are governed by these Terms unless an updated agreement accompanies the update.

We may perform maintenance or updates that temporarily affect availability and will make reasonable efforts to provide advance notice of planned downtime. We may modify, suspend, or discontinue any feature of the Service at any time. For material changes affecting paid subscribers, we will provide reasonable advance notice.

API and MCP endpoints are subject to rate limits to ensure fair usage. Current limits are documented on our API reference page. We may adjust limits at any time. Enterprise customers may request higher limits.

9. Third-Party Services

The Service relies on third-party providers, including Microsoft (PowerPoint and Microsoft Marketplace), Clerk (authentication), Stripe (payment processing), Amazon Web Services (infrastructure), and Anthropic and OpenAI (AI inference). When you connect editide to a third-party AI client (e.g., Claude, ChatGPT, or another MCP-compatible host), that client interacts with the Service on your behalf; your use of the client is governed by the client provider’s own terms and privacy policy. Your use of the Service is also subject to those providers’ terms where applicable. editide is not responsible for the acts or omissions of third-party providers.

10. Disclaimer of Warranty

THE SERVICE, INCLUDING THE ADD-IN, IS PROVIDED “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE.” EDITIDE, ITS AFFILIATES, AND ITS LICENSORS AND SUPPLIERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. EDITIDE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.

YOU BEAR ALL RISK OF USING THE SERVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDITIDE, ITS AFFILIATES, AND ITS LICENSORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF EDITIDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EDITIDE’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID EDITIDE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You agree to indemnify, defend, and hold editide and its affiliates, officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Service; (b) your content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

13. Export Controls

The Service may be subject to United States and other applicable export laws and regulations. You agree to comply with all such laws and regulations, including restrictions on destinations, end users, and end uses. You represent that you are not located in, under the control of, or a national or resident of any country subject to comprehensive U.S. embargo, and that you are not on any U.S. government list of prohibited or restricted parties.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to a change, you must stop using the Service.

15. Termination

You may terminate these Terms at any time by closing your account and, if applicable, uninstalling the Add-in.

We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if required by law. Upon termination:

  • Your license to use the Service ends immediately
  • Your API keys will be revoked
  • Your data will be deleted in accordance with our Privacy Policy
  • Sections 2 (last paragraph), 6 (final paragraph), 10, 11, 12, 13, 16, and this Section 15 survive termination

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida for any dispute arising out of or relating to these Terms.

17. Entire Agreement and Miscellaneous

These Terms, together with the editide Privacy Policy, constitute the entire agreement between you and editide regarding the Service and supersede any prior or contemporaneous understandings.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect. editide’s failure to enforce any provision is not a waiver of its right to do so later. You may not assign these Terms without editide’s prior written consent; editide may assign these Terms freely.
